Terms of Service

1. The short version
- You lease access to the Nessa AI service — you don't buy or own the software.
- No long-term contracts. No lock-in. Billing is month-to-month and you can cancel any time.
- Your customer data is yours (see our Privacy Policy). You can export it and take it with you.
- Don't try to reverse-engineer, copy, resell, or abuse the service. Standard fair-use rules apply.
2. Agreement
These Terms of Service ("Terms") are a binding agreement between Nessa AI ("Nessa", "we", "us") and the clinic, business, or individual using the service ("you", "Customer"). By creating an account or using the service, you agree to these Terms.
3. The service
Nessa provides an AI front-of-house assistant that answers, qualifies, and routes phone calls, and related dashboards, integrations, and support ("Service"). We may improve, change, or add features over time. We'll give reasonable notice of material breaking changes.
4. Lease of access — no ownership
We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service during your subscription. You are leasing access to a hosted service. We (and our licensors) retain all right, title, and interest in and to the Service, the underlying software, models, prompts, tooling, brand, and documentation. No source code, model weights, or intellectual property is transferred to you.
5. No contracts, no lock-in
- Subscriptions are month-to-month unless you and Nessa agree in writing to a different term.
- You can cancel at any time. Cancellation takes effect at the end of the current billing period; fees already paid are non-refundable except where required by law.
- One-time setup or onboarding fees, if any, are disclosed up front and are non-refundable once work has begun.
- On cancellation, you can export your customer data for a reasonable period. After that, we may delete it in accordance with our Privacy Policy.
- We won't hold your data hostage. Ever.
6. Fees and billing
You agree to pay the fees shown at signup or in your order. Fees are billed in advance for the upcoming period and are exclusive of taxes. We may change pricing on renewal with at least 30 days' notice; if you don't want the new price, you can cancel before it takes effect. Overdue accounts may be suspended after reasonable notice.
7. Acceptable use
You agree not to:
- Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code, models, prompts, or trade secrets of the Service, except to the limited extent applicable law expressly permits.
- Copy, resell, sublicense, rent, or offer the Service (or a substantially similar service built from it) to third parties without our written permission.
- Use the Service to build or train a competing product, or to benchmark it for a competitor.
- Interfere with, probe, overload, or disrupt the Service, its infrastructure, or other customers — including scraping, credential stuffing, denial-of-service, or bypassing rate limits or security controls.
- Use the Service for unlawful, harassing, deceptive, fraudulent, or harmful purposes, or to violate anyone's privacy or rights.
- Send illegal, spam, or non-consented telemarketing calls, or violate TCPA / CRTC / CASL or similar laws through the Service.
- Upload malware, or content you don't have the right to process.
- Remove or obscure any proprietary notices, or misrepresent your relationship with Nessa.
We may suspend or terminate accounts that violate these rules, typically after notice, but immediately for serious abuse or legal risk.
7a. No spam calling — you are liable for misuse
Nessa is built to help clinics answer inbound calls from their own patients and prospects. You must not use the Service — directly or indirectly, through automation, outbound campaigns, integrations, or any other means — to:
- Place spam, robocall, cold-call, or bulk unsolicited outbound calls, voicemails, or SMS.
- Contact anyone who has not given the consent required by applicable law, or who has asked not to be contacted (Do-Not-Call, unsubscribe, revoked consent).
- Violate the TCPA, TSR, CAN-SPAM, CRTC Unsolicited Telecommunications Rules, CASL, PIPEDA, PHIPA, GDPR, or any other applicable telemarketing, communications, consumer-protection, or privacy law.
- Impersonate another person or business, spoof caller ID, or make deceptive, fraudulent, harassing, threatening, or misleading calls.
- Use the Service for scams, phishing, vishing, debt-collection abuse, political robocalls, or any illegal purpose.
You are solely responsible and fully liable for how the Service is used under your account — including calls initiated by your staff, your integrations, or anyone you give access to. You are responsible for obtaining and maintaining all required consents, honoring opt-outs, and complying with all laws that apply to your communications.
You agree to defend, indemnify, and hold Nessa harmless from any claims, fines, penalties, damages, losses, or costs (including reasonable legal fees) arising from your misuse of the Service or violation of this section. We may immediately suspend or terminate the Service — without refund — and cooperate with regulators or law enforcement if we reasonably believe the Service is being misused in this way.
8. Your data and content
You retain ownership of your customer data and any content you or your callers submit through the Service. You grant Nessa a limited license to host, process, transmit, and display it solely to operate and support the Service for you. We don't sell it, and we don't use it to train AI models — see the Privacy Policy.
9. Confidentiality
Each side agrees to protect the other's non-public information disclosed under these Terms and to use it only to perform under this agreement.
10. Third-party services
The Service uses third-party infrastructure and AI providers (for example, cloud hosting, telephony, and speech/LLM providers). Their availability may affect the Service. We choose providers with appropriate protections and bind them not to sell your data or train on it.
11. Availability and support
We work hard to keep Nessa available and answering calls reliably, but the Service is provided on a commercially reasonable basis. Planned maintenance, third-party outages, and force majeure events may cause downtime. Support is provided via the channels listed in your plan.
12. Disclaimers
To the maximum extent permitted by law, the Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. AI outputs may be incorrect; you're responsible for reviewing outputs used in clinical, legal, or financial decisions. Nessa is not a medical device and does not provide medical advice.
13. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or lost profits, revenues, data, or goodwill. Each party's total aggregate liability arising out of or relating to these Terms is limited to the fees you paid to Nessa for the Service in the 12 months before the event giving rise to the claim.
14. Indemnity
You'll defend and indemnify Nessa against third-party claims arising from your misuse of the Service, your content, or your violation of these Terms or the law.
15. Termination
You can cancel at any time from your account or by contacting us. We can terminate or suspend the Service for material breach or non-payment after reasonable notice. On termination, your right to use the Service ends and we'll help you export your data as described in Section 5.
16. Changes to these Terms
We may update these Terms as the Service evolves. Material changes will be communicated to account holders with reasonable notice. Continued use after changes take effect means you accept the updated Terms.
17. Governing law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws rules. The courts located in Ontario have exclusive jurisdiction, except that either party may seek injunctive relief in any competent court.
